This End User License Agreement (the "Agreement") is a binding contract between you, the business or individual using the service ("you" or "Customer"), and Eladde Inc, a Delaware corporation, operating the Manetho service ("Manetho", "we", "us", or "our"). By creating an account, connecting an accounting system, or otherwise using Manetho, you agree to be bound by this Agreement. If you do not agree, do not use the service.
Manetho is an automated accounts-receivable assistant. It helps businesses recover overdue invoices by contacting the relevant payers ("debtors") on the Customer's behalf through channels such as email, messaging, and voice, and by tracking responses and payments. Manetho may connect to your accounting system (for example QuickBooks, Xero, or Zoho) to read invoice and contact information solely for this purpose.
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Manetho for your internal business purposes. We retain all right, title, and interest in and to the service, including all related software, content, and intellectual property.
By submitting an invoice and the associated contact details, you authorize Manetho to contact the relevant payer on your behalf regarding that invoice, and you confirm that such contact is permitted. Manetho aims to communicate professionally and to honor opt-out requests. You remain the party on whose behalf collection is performed and retain responsibility for the underlying debt.
Where a success fee or other charge applies, the applicable fee will be presented to you before you incur it. You authorize us to charge your designated payment method for fees that become due. Fees are non-refundable except where required by law or expressly stated otherwise.
Manetho integrates with third-party services, including accounting platforms and communication and payment providers. Your use of those services is governed by their own terms. We are not responsible for third-party services, and their availability is not guaranteed.
Our handling of personal and business data is described in our Privacy Policy, which forms part of this Agreement. You are responsible for having a lawful basis to share with us any data about third parties (including debtors) that you provide.
Manetho is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any invoice will be recovered, that the service will be uninterrupted or error-free, or that communications will reach their intended recipients. Manetho does not provide legal, accounting, or financial advice.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the service. Our total aggregate liability for any claim relating to the service will not exceed the amount of fees you paid to us in the three months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Eladde Inc and its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the service, your breach of this Agreement, or your violation of any law or the rights of any third party, including any debtor you ask us to contact.
You may stop using the service at any time. We may suspend or terminate your access if you breach this Agreement, if required by law, or to protect the service or third parties. Provisions that by their nature should survive termination will survive.
We may update this Agreement from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by notice to you. Continued use after changes take effect constitutes acceptance.
This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except where mandatory local law applies to you.
